1. Purpose and acceptance
These terms govern access to iliys.com and use of the ILIYS application, published by YL Services. Creating an account or subscribing constitutes full acceptance of these terms.
2. Nature of the service
ILIYS is a SaaS (Software as a Service) platform for passenger transport companies, limousine fleets and professional chauffeurs. It covers ride management, real-time dispatch, chauffeur tracking, the corporate client portal, the inter-company network and invoicing.
The service requires no local installation. YL Services may evolve features to improve the platform without materially reducing the subscribed scope.
3. Accounts and usage
The client is responsible for the accuracy of the information provided, for the confidentiality of credentials and for the use made of the account by its staff and chauffeurs.
Using the service for unlawful purposes, circumventing its protections, reselling it without written agreement, or uploading data one is not entitled to process, is prohibited.
4. Free application
Access to the application is free of charge: no subscription and no driver limit. Only the introduction commissions described below are billed.
5. Introduction and subcontracting between chauffeurs
ILIYS is an introduction platform allowing independent chauffeurs to subcontract rides to one another. ILIYS is neither a carrier nor a party to the transport contract.
ILIYS does not collect the ride amount: payment for the ride is settled directly between the chauffeurs involved, outside the platform.
The ride amount is agreed and validated by both chauffeurs. Once validated, it can no longer be modified.
6. Introduction and availability commissions
For every subcontracted ride carried out through the platform, ILIYS charges an introduction commission, calculated on the ride amount validated by both chauffeurs: 5 % payable by the sending chauffeur (the one issuing the ride) and 7 % payable by the receiving chauffeur.
For every availability ride, ILIYS further charges an availability commission, calculated on the ride amount validated by both chauffeurs: 3 % payable by the sending chauffeur and 3 % payable by the receiving chauffeur.
These commissions are due as soon as the ride is completed. They cover access to the network and the introduction, independently of the payment made between chauffeurs.
7. Payment of commissions
On sign-up, the chauffeur registers a payment method (bank card) and authorises ILIYS to automatically charge the total commissions due to that card once a month (5 % for issued rides and 7 % for received rides under the introduction commission, and 3 % for issued rides and 3 % for received rides under the availability commission). Payments are securely processed by Stripe; ILIYS stores no banking details.
A monthly statement listing the rides concerned and the corresponding commissions is made available to the chauffeur and sent by email.
The chauffeur undertakes to keep a valid payment method on file for as long as the platform is used.
8. Failed payment and suspension
If the monthly charge fails, the chauffeur is notified by email and further attempts are made, along with reminders.
If the commissions remain unpaid after those reminders, the account may be suspended until the outstanding amounts are settled in full. Suspension does not cancel commissions already due.
9. Invoicing rides to clients
Separately from commissions, users may invoice their own rides online from the application. These card payments are securely processed by Stripe, in the currency matching the user's country, and paid invoices are sent by email.
10. Term, account closure and outstanding commissions
The account has no minimum term and can be closed at any time from the application or by writing to contact@iliys.com.
Closing the account or ceasing to use the service does not release the user from paying commissions already due for completed rides. They are collected through a final charge, or invoiced and payable on receipt if the charge fails.
YL Services may suspend or close an account in case of fraudulent use, unpaid commissions or serious breach of these terms, after notice has remained without effect.
11. Client data
The client remains the owner of the data entered into the application. YL Services acts as a technical processor and uses it solely to deliver the service.
Data is partitioned per company and hosted on a secure cloud infrastructure. Personal data processing is detailed in the privacy policy.
12. Availability and support
YL Services uses reasonable means to ensure continuous availability, excluding scheduled maintenance and force majeure.
Support is provided by email at contact@iliys.com.
13. Liability
ILIYS is an introduction and organisation tool: each user remains solely responsible for its transport operations, for complying with the regulations applicable to its activity, for its obligations towards clients, chauffeurs and partners, and for its invoicing.
As ILIYS is not a party to the contract concluded between chauffeurs, it guarantees neither the proper performance of the ride nor the payment of the amount agreed between them.
YL Services' liability is limited to direct, proven damages and capped at the commissions collected from the user over the last 12 months. Indirect damages (loss of revenue, loss of clientele, data loss attributable to the user) are excluded.
14. Intellectual property
The site, the application, the ILIYS brand, visuals and code remain the exclusive property of YL Services. Opening an account grants a personal, non-exclusive, non-transferable right of use limited to the period of use of the service.
15. Governing law and jurisdiction
These terms are governed by Swiss law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the courts of Geneva, Switzerland.
